Tokens from Ondo Global Markets as the asset a market trades against: what they are, who controls them, and who may hold them.

No stock quote is enabled

Each stock token has to be validated and allowlisted on its own, and offering stock-quoted markets needs a legal review and the owner's decision on eligibility gating. Until then no market can pair with a stock token. EtherFamily is not affiliated with Ondo, and Ondo does not endorse EtherFamily.

The candidates

The research examined five tokens. All five move normally through Uniswap's pools, Permit2 and freshly deployed contracts, with exact amounts and no transfer fee Test-proven.

Every route to and from these tokens depends on one or two pools and a few liquidity providers. Trades that start or end in ETH go through USDC Observed on-chain.

Notes, not shares

A tokenized note, not a share

The stock token is a tokenized note issued by Ondo Global Markets (BVI) Limited, not a share. It gives no shareholder rights and depends on the issuer. Its price tracks the total return of the underlying stock (dividends reinvested net of withholding), so it differs from the share price.

According to the issuer's documents Vendor-documented:

  • The issuer is Ondo Global Markets (BVI) Limited, a special-purpose company in the British Virgin Islands. The tokens are structured notes (debt instruments) governed by Swiss law.
  • Holders get economic exposure only: no voting, information or other shareholder rights, and no right to receive the underlying shares.
  • The notes are backed by the underlying securities, held through a US broker-dealer, with cash in transit and an over-collateralization buffer; a security agent holds a first-priority interest on behalf of holders.
  • They are not registered under the US Securities Act and are sold under Regulation S only.

Total return, not the share price

A token tracks its stock plus reinvested dividends, net of withholding tax (30% on US dividends for this issuer). Over time one token comes to represent more than one share, so the token's price drifts above the share price. The issuer's own example: after a $10 dividend taxed at 50% on a $100 stock, one token equals 1.05 shares Vendor-documented.

  • A stock-quoted market opens at a price of the token, never of the share, signed by EtherFamily's price service from at least two sources, at most 300 seconds old and usable once.
  • USD marks use token-price feeds where they exist, and say so where they do not. Execution prices and USD marks
  • The chart of the stock is not the chart of the token, and neither is the chart of a token paired with it.

What the issuer can do

Issuer powers

The issuer can pause the stock token or block addresses at any time, and can change the token's code for all its stock tokens after a 2-hour delay. A pause or block can stop trading in this market and stop fee and reward claims. EtherFamily's permanent liquidity lock does not protect against that.

The five tokens share one contract system: one implementation, one pause manager and one set of compliance lists. What the issuer's keys could do at the research block Observed on-chain:

Nothing in EtherFamily's design can prevent these actions. The design keeps them from spreading: fees are booked per market and no payment is pushed inside a trade, so a frozen stock token stops its own markets and claims, not others. Issuer actions are to be monitored, and the token page shows a “quote restricted” state naming what is blocked.

Screening, not enforcement

Screening, not enforcement

EtherFamily's router and fee payouts check the issuer's pause, blocklist and sanctions lists for this asset. This is a courtesy check, not enforcement: other apps can trade this pool.

The check runs through a small adapter contract that has no admin and reads the issuer's own pause, blocklist and sanctions lists. EtherFamily's factory refuses new launches on a paused token or by a flagged creator; its router refuses trades by a flagged trader or to a flagged recipient; its fee escrow refuses to send a flagged account's payout to another address. If the adapter fails, these paths refuse rather than proceed. A claim to one's own address never consults the adapter: the issuer's own checks apply to it.

Market hours

Market hours

This pool trades around the clock, but the issuer's own market (creation and redemption) keeps market hours and pauses for corporate actions. Outside those hours the pool price can drift from the stock.

  • The issuer creates and redeems tokens in four sessions, from Sunday 8:05 pm to Friday 7:59 pm US Eastern time on NYSE trading days, plus an off-hours session on weekends and holidays that all five candidates had enabled, with wider spreads Vendor-documented.
  • Corporate actions pause or limit it: around dividend dates, while an ETF distribution is unknown, and during earnings Vendor-documented.
  • The tokens themselves transfer at any time unless paused. How far pool prices drift from the stock over a weekend has not been measured Hypothesis.

Redemption and exits

No issuer redemption through EtherFamily

EtherFamily cannot redeem the stock token with the issuer. Redemption requires the issuer's own onboarding. Your exits are selling in pools.

Creating or redeeming tokens with the issuer requires its identity checks, signed agreements and a whitelisted wallet; a fresh contract, and even the largest secondary holder, is refused Test-proven. EtherFamily cannot offer issuer redemption. Leaving a stock token means selling it in a pool.

Who may hold them

Prohibited persons

The issuer prohibits certain persons from acquiring its tokens, including in secondary trading: among others, persons in or from the United States and Canada and sanctioned jurisdictions, with further restrictions in other regions. By continuing you confirm you are not a prohibited person. This confirmation is not a check by EtherFamily.

According to the issuer's documents Vendor-documented:

  • Prohibited persons may not subscribe for, acquire or redeem the tokens, including on secondary markets: persons in or from the United States (including US persons under Regulation S, and buy orders placed from the US), Canada, Afghanistan, Belarus, the Crimea, Donetsk, Luhansk, Kherson, Zaporizhzhia and Sevastopol regions, Cuba, Iran, Libya, Myanmar, North Korea, Russia, Somalia, South Sudan, Sudan and Syria; entities 50% or more owned by prohibited persons; and others at the issuer's discretion.
  • Restricted jurisdictions (qualified or professional investors only): Brazil, the European Economic Area, Hong Kong, Malaysia, Singapore, Switzerland (no individuals) and the United Kingdom.
  • Anyone acquiring the tokens on a secondary market is deemed to represent that they are not a prohibited person, and accepts the issuer's terms, including limited recourse and arbitration in Zurich.

The proposed gate (pending the owner's and counsel's decision) would block stock markets for the prohibited jurisdictions, ask for a one-time self-certification per address before the first stock-quoted interaction, and keep ETH and USDC markets separate so the gate applies precisely. None of this can stop direct contract calls: it is screening, not enforcement.
